Job overview
You will work on a wide range of exciting and market leading transactions offering specialist advice on:
- All general Luxembourg corporate matters and legal issues;
- All Luxembourg aspects of private equity transactions including M&A, management buy-outs and leveraged buy-outs;
- Management incentive plans;
- All aspects of Luxembourg M&A transactions;
- National and cross-border mergers and spin-offs;
- Cross-border reorganisation and refinancing of multinationals; and
- Migrations, liquidations and incorporation of companies in the context of reorganisation of global group structures.
You would typically act on all elements of a corporate deal from term sheet stage, through to closing and post-closing.
You would also be expected to manage projects that have been assigned to you, including due diligence on Luxembourg companies, and liaise closely with colleagues, clients, counterparties and other advisers.
You would be working as part of a committed and inspired friendly team that enjoys its work and considers itself a leader in its field of practice.
Essential skills and experience
Experience
- You successfully passed an academic degree in law , ideally completed by an LL.M degree. A specialized Master's degree or a business management degree (HEC, ESCP, IEP, ESSEC, etc.), would be an asset;
- Qualified junior level Corporate lawyer with previous experience in private M&A and corporate finance with a major law firm; or preparing a Bar in any European jurisdiction;
- Experience of drafting, reviewing and negotiating legal documents and agreements in a private practice environment;
- Interest in corporate M&A, due diligence, corporate structures and corporate governance.
Skills
- Fluency in English and French is a must. German would be an asset;
- A commercial approach;
- A team-player who can work effectively with colleagues at all levels;
- Able to demonstrate the entrepreneurial spirit and energy necessary to help win and execute complicated and high profile corporate transactions.
